THE WABANAKI CENTRE OF LOWER ST-LAWRENCE

1. The corporation shall be known in French as the "Centre Wabanaki du Bas St- Laurent", in English as the " Wabanaki Centre of lower St-Lawrence". It may be designated by any of these names.

2. Office

The head office and corporate seat shall be in St-Epiphane, Province de Québec.

3. Corporate Seal

The seal which appears in the margin is the official seal of the Corporation.

4. Objects

The objects of the Corporation is to act as the cultural and spiritual representative of the Wabanaki people in lower St-Lawrence and more particulary:

a) to act as an Elders Council, group or association to solve and assist in solving the problems of the Wabanaki people of Lower St-Lawrence;

b)to represent and act on behalf of the Wabanaki people of Lower St-Lawrence in such a matters as may be entrusted or delegated to it by the Wabanaki people or individual.

c)to assist the Wabanaki people of Lower St-Lawrence through all means permitted by law to affirm, exercise, protect, enlarge and have recognized and accepted the cultural heritage rights, claims and interest of the Wabanaki People of Lower St-Lawrence.

d)to foster, promote, protect, and assist in preserving the way of life, values and traditions of the Wabanaki People of Lower St-Lawrence,

e)to advise on methods and means of obtaining and to assist in obtaining the maximum possible cultural heritage benefits and advantages for the Wabanaki People of Lower St-Lawrence,

f)to improve and assist in improving the cultural and spiritual conditions of the Wabanaki Community of Lower St-Lawrence,

g)to discuss and deal with Wabanaki governments, authorities in relations to Wabanaki people cultural heritage content of rights, interest, claims,

h)to administer, control, hold, operate and manage lands, resources, fauna, wildlife, property and services for the benefit of the Wabanaki People of Lower St-Lawrence.

i)to carry out cultural research and provide or arrange for the provision of technical, professional and other assistance,

j)to work with other Wabanaki people or organisations in respect of cultural enhancement for any common goals, aspirations and pursuits,

Voting

any decision taken during the meeting of the Council of Elders or by the Wabanaki peoples must be taken on consensus by a show of hand. no secret ballot.

Each person will have the opportunity to express its opinion once before voting at all meeting of the Wabanaki people or the Council of Elders. Permission to speak once will be given to the one that hold the talking stick. no time is limited for presentation of the speaker.

Consensus decision

Each consensus decision adopted shall be noted in a record book and shall be considered as the minutes of the meeting.

MEMBERS

Every person who is Wabanaki within the traditional meaning of the Wabanaki people shall be a member of the Corporation.

Fees

Each member shall pay an annual membership fee as may be fixed by the Board and subject to the approval of the members at a annual General Gathering.

BOARD OF DIRECTORS

The Board of Directors shall be referred to as the Wabanaki Council of Elders.

Qualification and term of office

Any Wabanaki person from any Wabanaki communities or tribes who is recognized by the Wabanaki People as an Elder shall be automatically be a Member of the Council of Elders and a Director of the Corporation and shall hold office for life according to the traditional way of the Wabanaki People.

The Wabanaki Council of Elders shall consist of a minimum of 5 Members.
